Terms of Use

1. Overview and Acceptance

These Terms of Use ("Terms") are a binding legal agreement between you and Auto Lending Canada Ltd., doing business as Auto Lending Canada, together with its parent companies, subsidiaries, and affiliated companies under common ownership or control (collectively, "Auto Lending Canada," "ALC," "we," "us," or "our"). These Terms govern your access to and use of our website at autolendingcanada.ca and any related pages, forms, funnels, or landing pages we operate (the "Website"), and any inquiry, application, or other submission you make through the Website or otherwise to us (each, a "Submission").

By accessing or using the Website, or by making a Submission, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access the Website or make a Submission.

By using the Website you represent and warrant that you are at least nineteen (19) years old and have reached the age of majority in your jurisdiction. If you use the Website on behalf of a legal entity, you affirm that you are authorized to bind that entity, and "you" refers to both you and the entity.

We may modify these Terms at any time by posting a revised version on the Website with an updated effective date. Your continued use of the Website after the effective date constitutes acceptance of the revised Terms.

2. What We Are — and What We Are Not

Auto Lending Canada is a marketing, lead generation, and referral platform. We connect consumers who are interested in vehicle financing, vehicle purchases, vehicle sales, and related products and services with third-party businesses that may be able to serve them.

We are not a lender, bank, credit union, credit grantor, mortgage or loan broker (except where expressly licensed), insurer, insurance agent, or licensed motor vehicle dealer. We do not:

• make credit decisions or issue financing;
• sell, buy, or offer vehicles for sale;
• provide insurance, warranty, or vehicle protection products;
• guarantee that you will be contacted, approved, or funded, or that any particular rate, payment, term, vehicle, or product will be available to you; or
• act as your agent, broker, fiduciary, or advisor.

Nothing on the Website constitutes financial, credit, legal, insurance, or other professional advice. Any figures produced by tools on the Website (including any loan or payment calculator) are estimates for illustration only and do not constitute an offer or quote.

3. How Our Service Works; Referrals and Compensation

(a) Submissions are requests for referral. When you make a Submission, you are asking us to match you with, and refer your information to, one or more third-party businesses ("Partners"), which may include automotive dealerships and dealer groups; lenders, banks, credit unions, and finance companies; loan brokers; lead marketplaces and aggregators; and providers of related products and services, including vehicle insurance, extended warranty and vehicle protection products, roadside assistance, vehicle history and valuation services, vehicle purchasing services, refinancing, credit monitoring and credit building, and debt management services. We may also transfer your Submission to our affiliated companies, which may act on it themselves or distribute it to Partners.

(b) We are compensated for referrals. You acknowledge and agree that we receive fees, commissions, or other compensation from our affiliates and Partners in exchange for referrals and for providing your information to them, that such compensation may vary by Partner and may influence which Partners receive your information, and that we are under no obligation to refer you to the Partner offering the lowest rate or best terms. Our service is provided to you at no charge; our compensation comes from affiliates and Partners.

(c) One Submission, multiple recipients; ongoing referrals. A single Submission may be provided to, and acted upon by, more than one affiliate or Partner, and each may contact you independently. Your Submission and the consents you provide are not limited to a single referral: unless and until you withdraw your consent, we may continue to refer, disclose, transfer, and sell your information to affiliates and Partners over time — including to affiliates and Partners we begin working with after your Submission — in accordance with our Privacy Policy, including its retention schedule.

(d) Transactions are with Partners, not with us. Any financing, vehicle purchase or sale, insurance policy, warranty, or other product or service is offered and provided solely by the applicable affiliate or Partner under its own terms, conditions, and privacy policy. We are not a party to, and are not responsible for, any transaction, decision, representation, offer, product, service, act, or omission of any affiliate or Partner. You are responsible for reviewing and understanding all terms of any product or service before agreeing to it, including all financing terms, and for confirming the features, specifications, condition, and history of any vehicle before purchasing it.

(e) No guarantee of outcome. We make no representation that any Partner will contact you, extend credit, purchase your vehicle, or offer any product or service, or as to the terms of any such offer.

(f) Advantage program and referrals. Every Submission automatically activates membership in the Auto Lending Canada Advantage program at no charge. Participation in the Advantage program and in the Auto Lending Canada Referral Program is governed by the Referral Program Terms, available at autolendingcanada.ca/referral-terms, which are incorporated into these Terms by reference. In the event of any conflict between these Terms and the Referral Program Terms with respect to the Referral Program, the Referral Program Terms govern.

4. Consent to Be Contacted

By making a Submission and providing your telephone number and email address, you expressly consent to being contacted by Auto Lending Canada, our affiliates, and the Partners that receive your information, at the telephone numbers and email addresses you provide, by:

• live telephone calls; telephone calls placed using automatic telephone dialing systems and/or pre-recorded or artificial voice messages; SMS/MMS text messages, including automated text messages; and email,

for purposes relating to your Submission and to offer products and services described in Section 3, even if your telephone number is registered on the National Do Not Call List or any internal do-not-call list. You represent that you are the subscriber or customary user of any telephone number you provide. Your consent to be contacted is not a condition of purchasing any property, goods, or services. Message and data rates may apply. You may revoke your consent at any time as described in Section 5 and in our Privacy Policy; revocation of consent as to Auto Lending Canada does not automatically revoke consents held by Partners that have already received your information, and you may need to opt out with those parties directly.

5. SMS/Text Message Program Terms

If you receive text messages from us: message frequency varies based on your inquiry and interaction. Message and data rates may apply. Reply STOP to cancel at any time; after you send STOP, we will send a final message confirming your opt-out. Reply HELP for help, or contact us at info@autolendingcanada.ca or 1-844-405-5363. Carriers are not liable for delayed or undelivered messages. Our collection and use of information in connection with the text program is described in our Privacy Policy.

6. Your Representations About Your Submissions

You represent and warrant that all information you provide in any Submission is true, accurate, current, and complete, that it relates to you (and not to any other person, unless you are expressly authorized to provide that person's information and have obtained all consents required by law), and that you will promptly correct any information that becomes inaccurate. You acknowledge that we and our affiliates and Partners will rely on the information you provide, and that providing false, misleading, or fraudulent information may result in refusal of service, termination of these Terms, and civil or criminal liability. We reserve the right (but have no obligation) to verify any information you provide, including through phone number validation, fraud detection, and identity verification services.

7. Credit Reports

Auto Lending Canada does not itself pull your credit report through the Website's application funnel. Partners that receive your information may seek to obtain one or more consumer credit reports about you from credit reporting agencies such as Equifax or TransUnion, only where you have provided the authorization required by applicable law to that Partner. Any credit inquiry is made by, and is the responsibility of, the applicable Partner.

8. Acceptable Use of the Website

You agree not to: (a) use the Website for any unlawful, tortious, fraudulent, defamatory, discriminatory, or malicious purpose, or in violation of these Terms or the rights of any person, including intellectual property rights; (b) impersonate any person or entity or misrepresent your affiliation with any person or entity, or submit information about any person without lawful authority; (c) access or attempt to access the Website through automated means, including scrapers, spiders, robots, crawlers, or indexing tools, or submit forms through automated means; (d) harvest or collect personal information about users of the Website; (e) mirror, frame, or simulate the appearance or functionality of the Website; (f) interfere with any person's use of the Website or impair the Website or its infrastructure, including by imposing an unreasonable load; (g) reverse engineer, decompile, copy, modify, distribute, sell, or otherwise exploit the Website or its content, or create derivative works from them; or (h) upload or distribute viruses, malware, or other harmful code.

We may investigate violations, suspend or block access, reject or discard Submissions, and involve law enforcement, in each case in our sole discretion.

9. Intellectual Property

The Website and all materials on it, including text, graphics, logos, designs, software, and content, are the property of Auto Lending Canada or its licensors and are protected by intellectual property laws. "Auto Lending Canada" and the Auto Lending Canada logo are trademarks of Auto Lending Canada Ltd. Nothing in these Terms grants you any license or right to use the Website or its materials except as necessary to use the Website for its intended consumer purpose. You may not copy, modify, create derivative works from, publicly display, or commercially exploit the Website or its materials without our express written permission.

10. Third-Party Content and Links

The Website may contain links to, or content from, third-party websites and providers, provided solely for your convenience. We do not endorse and are not responsible for any third-party website, content, product, or service. Your use of third-party websites and services is at your own risk and subject to their terms and privacy policies.

11. Blog and Informational Content

Articles, guides, calculators, FAQs, and other informational content on the Website are provided for general information only, may not be accurate, complete, or current, and do not constitute financial, credit, legal, tax, insurance, or other professional advice. Rates, figures, prices, incentives, and program details referenced in such content change frequently and may be outdated. You should verify any information and obtain independent professional advice before making financial decisions.

12. Disclaimer of Warranties

The Website, our referral service, and any products or services available through the Website are provided "as is" and "as available" without representations, warranties, or conditions of any kind, express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, whether statutory, express, or implied, including merchantability, quality, performance, fitness for a particular purpose, completeness, accuracy, currency, reliability, availability, and non-infringement. Without limiting the foregoing, we make no representation or warranty regarding: (a) whether any Partner will contact you or offer you any product or service; (b) the terms, rates, payments, availability, or suitability of any financing, vehicle, or other product or service; (c) the accuracy of any vehicle description, image, estimate, or calculator output on the Website; or (d) the conduct of any affiliate or Partner.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Auto Lending Canada or its directors, officers, employees, shareholders, partners, joint venturers, licensors, agents, affiliates, successors, assigns, or subsidiaries (collectively, the "Representatives") be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including damages for loss of profits, revenues, goodwill, use, data, opportunities, reputation, or other commercial, financial, economic, or intangible losses, whether based in contract, tort (including negligence), statute, or any other theory, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Auto Lending Canada and its Representatives for all claims arising out of or relating to these Terms, the Website, or any Submission shall not exceed one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow certain exclusions or limitations of liability; in those jurisdictions, the above exclusions and limitations apply to the maximum extent permitted, and nothing in these Terms limits rights that cannot be limited or waived under applicable consumer protection law.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Auto Lending Canada and its Representatives from and against all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of applicable law; (c) inaccurate, false, or fraudulent information you provide, including information you provide about another person without authority; or (d) your misuse of the Website.

15. Dispute Resolution; Arbitration; Class Waiver

(a) Good faith negotiation. In the event of any dispute between you and Auto Lending Canada arising out of or relating to these Terms, the Website, or any Submission, referral, or communication, the parties shall first consult and negotiate in good faith to resolve the dispute.

(b) Arbitration. If the dispute is not resolved within ninety (90) days, it shall be referred to and finally resolved by mandatory and binding arbitration under the Arbitration Act (British Columbia). The place of arbitration shall be Vancouver, British Columbia; there shall be one arbitrator; and the language of the arbitration shall be English.

(c) Limitation period. Any claim arising out of or relating to these Terms or the Website must be commenced within one (1) year after the cause of action accrues, failing which it is permanently barred, except where a longer period is required by applicable law.

(d) Class waiver. To the maximum extent permitted by applicable law, you waive any right to commence or participate in any class, collective, or representative proceeding against Auto Lending Canada, and disputes shall be arbitrated on an individual basis only.

(e) Consumer carve-out. If and to the extent that applicable consumer protection law in your jurisdiction renders the arbitration requirement, the limitation period, or the class waiver unenforceable against you, that provision does not apply to you to that extent, and any legal proceeding shall instead be instituted exclusively in the courts of the Province of British Columbia, and you irrevocably submit to the exclusive jurisdiction of those courts. Nothing in this Section prevents you from filing a complaint with a regulator or tribunal having jurisdiction.

16. Privacy

Our collection, use, disclosure, and sale of your personal information — including the transfer of your information to our affiliated companies and the sale of your information to third-party Partners for compensation — is described in our Privacy Policy, available at autolendingcanada.ca/privacy-policy. The Privacy Policy forms part of these Terms and is incorporated by reference. By making a Submission, you consent to the practices described in the Privacy Policy.

17. Termination

We may suspend or terminate your access to the Website, reject or discard any Submission, or terminate these Terms, at any time in our sole discretion, with or without notice. Sections that by their nature should survive termination (including Sections 3(d), 6, 9, and 12 through 18) survive.

18. General

(a) Nothing in these Terms affects consumer rights that cannot be limited or waived under applicable law. (b) These Terms, together with the Privacy Policy, constitute the entire agreement between you and Auto Lending Canada regarding their subject matter and supersede all prior understandings. (c) We may assign these Terms, in whole or in part, on notice to you; you may not assign them. (d) Our failure to enforce any provision is not a waiver of it. (e) If any provision is held invalid or unenforceable, it will be interpreted to fulfill its intended purpose to the maximum extent permitted, and the remaining provisions remain in full force. (f) Words importing the singular include the plural and vice versa; "including" means "including without limitation." (g) These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles, subject to any mandatory consumer protection law of your province of residence. (h) These Terms enure to the benefit of and bind the parties and their respective successors, heirs, and permitted assigns. (i) A French version of these Terms and of our Privacy Policy is available at https://autolendingcanada.ca/fr/conditions-dutilisation / Une version française des présentes conditions et de notre politique de confidentialité est disponible à https://autolendingcanada.ca/fr/conditions-dutilisation. For residents of Quebec, in the event of any inconsistency between the English and French versions, the French version prevails to the extent required by law; otherwise, the parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément demandé que ces conditions et tous les documents connexes soient rédigés en anglais.
